Baker McKenzie acted as lead legal counsel to MHP SE

The Kyiv office of Baker McKenzie acted as lead legal counsel to MHP SE, a leading international agro-industrial group, on its acquisition of Perutnina Ptuj, international meat-processing company and the largest producer poultry meat products in Southeast Europe. Baker McKenzie’s team was led by Viacheslav Yakymchuk, partner in Baker McKenzie’s Kyiv office with key input from London-based senior corporate associate Robert Gray and corporate associate Alyona Furda in the Kyiv office. The team also included antitrust and competition associate Anita Lukaschek in Vienna and corporate associate Olena Serpukhovitina in Kyiv.

ODI, an independent corporate law firm in South East Europe, acted as MHP’s counsel in Slovenia, Serbia, Croatia and Macedonia.

 

Eterna Law — legal advisor to group of investment funds in sale of Core Value companies

Eterna Law acted as a legal advisor to a group of investment funds in the sale of Core Value companies as well as international structuring and business restructuring in several jurisdictions, including the United States, Poland, Cyprus, Luxembourg, Ukraine.

Project was managed by team of lawyers, led by Oleh Malskyy, partner and head of corporate and M&A department and including Artem Kuzmenko, senior associate, Margatita Tatarova, associate and Philip Taranenko, junior associate.

Oaktree Capital Management and Cornerstone Partners bought CoreValue, a technology company with its HQ in the U.S. and development centers in Ukraine and Poland.

As a result, CoreValue joins IT Kontrakt in a global IT Services Competence Platform. The project is being managed from Poland as one of the Oaktree Capital Management and Cornerstone Partners investments.

 

AVELLUM advised EBRD and BSTDB on financing of one of largest solar projects in Ukraine

AVELLUM acted as the Ukrainian legal counsel to the European Bank for Reconstruction and Development and the Black Sea Trade and Development Bank (BSTDB) in connection with senior secured loans in the total amount of up to EUR 36.3 million to Rengy Bioenergo LLC.

The loans will be used to construct and put into operation 3 solar power plants in Mykolaiv Region with a total installed capacity of 47 MW.

This is the EBRD’s first project under the recently approved Ukraine Sustainable Energy Lending Facility III (USELF III) framework. The USELF III program, worth EUR 250 million, follows two preceding sustainable-energy lending programs co-financed by the EBRD and the Clean Technology Fund.

The AVELLUM team was led by senior partner Glib Bondar and counsel Maria Tsabal, with support from partner Vadim Medvedev, counsel Maksym Maksymenko, senior associate Tetyana Mykhailenko, associates Dmytro Symbiryov, Daryna Mykhailenko, Anna Mykhalova, and Anna Kalabska.

 

Acquisition of Aladdin Shopping Mall by Dragon Capital

Wolf Theiss advised a major international insurance company, Sompo International, on the M&A warranty and indemnity insurance transaction for the acquisition of Aladdin shopping and entertainment center. Located in one of the most densely populated neighbourhoods of Kyiv, and having a total area of over 16,000 sq.m, Aladdin was purchased by the Ukrainian Commercial Property Investment Holding, which is a part of Dragon Capital, from Meyer Bergman.

The Wolf Theiss Kyiv office team included partner Taras Dumych and a senior associate, Oksana Volynets, as well as the Vienna based partner Christian Mikosch.

AEQUO has advised Dragon Capital. The project team led by partners Anna Babych and Yulia Kyrpa included counsels Michael Lukashenko, Bohdan Dmukhovskyy and Sergey Denisenko, and senior associate Mykhaylo Soroka.

CMS Cameron McKenna Nabarro Olswang in Kyiv advised leading international real estate investment fund, Meyer Bergman, on the Ukrainian and English law aspects of its sale of the Aladdin Shopping Mall. The CMS team was led by Graham Conlon, Kyiv managing partner and CEE/CIS co-head of international private equity, and Natalia Kushniruk, counsel and real estate practice coordinator, with support from counsel and corporate/M&A practice coordinator Tetyana Dovgan, senior associate and banking & international finance practice coordinator Kateryna Chechulina, associates Louise Çakar, Vitaliy Mainarovych, Ievgen Storozhenko, lawyer Diana Pysarenko, and trainee Ivan Pshyk.

 

AVELLUM advised EBRD on infrastructure financing for Negabarit-Service

AVELLUM acted as Ukrainian legal counsel to the European Bank for Reconstruction and Development in connection with a senior secured loan of up to EUR 2.6 million to Negabarit-Service LLC, a Ukrainian leader in the oversized and complex auto cargo transportations.

The loan will help to finance the company’s investment program for the acquisition of up to 42 trucks equipped with advanced GPS systems and 18 trailers.

The AVELLUM team was led by senior partner Glib Bondar with support from counsel Maria Tsabal and associates Oleksandra Kupriichuk and Anna Kalabska.
