Asters advised Dobrobut Group

Asters acted as a legal counsel to Dobrobut, a leading Ukrainian network of private medical centers, on its acquisition of the Borys medical center. 

The Asters team fully supported its client on all major aspects of the deal. In particular, it conducted legal due diligence of the Borys Medical Center, obtained all the necessary clearances from the Antimonopoly Committee of Ukraine, provided support within the in-depth study of the healthcare market initiated by the AMCU, structured the settlements, prepared a package of contracts for the transaction and its closure, advised on various issues of corporate, contractual, antitrust, intellectual property and real estate law.

Asters’ project team included partner Oleksiy  Demyanenko, counsel Oles Kvyat, and associates Anna Gnyp, Diana Kondratieva and Iuliia Savchenko. Partner Igor Svechkar and senior associate Tetyana Subbotina advised on the antitrust aspects of the deal.

 

CMS advised EuroCape

CMS has advised EuroCape Ukraine I LLC, a subsidiary of independent renewable energy company LongWing Energy SCA, as lead borrower and sponsor in relation to equity and senior debt financing for the construction of a wind farm in Ukraine.

VLC Renewables, a renewable energy investment fund formed through a partnership between Vitol and Low Carbon, has co-invested with LongWing Energy SCA in the project, while GE Energy Financial Services has made a minority equity investment. The Overseas Private Investment Corporation, the U.S. Government’s development finance institution, will provide the senior debt of USD 150 million for the first phase of the Zaporizhzhia wind farm, with JP Morgan the hedge provider. 

CMS acted on all aspects of the project’s development and financing, including negotiations regarding all transaction documents, as well as related advice on real estate, banking and finance, energy regulatory issues and due diligence aspects.

The CMS project team was led by Vitaliy Radchenko with major assistance from senior banking associate Kateryna Chechulina, banking associate Khrystyna Korpan, real estate counsel Natalia Kushniruk and other team members.

 

Asters advised EBRD on financing of up to EUR 15 million for Farmak

Asters acted as a legal counsel to the European Bank for Reconstruction and Development (EBRD) in connection with its financing to JSC Farmak, which can total up to EUR 15 million.

The 5-year EBRD loan will be used to support expansion of Farmak’s production of liquid dosage forms and modernization of its laboratories. Asters’ banking and finance team advising on the project consisted of partner Iryna Pokanay, counsel Gabriel Aslanian and associates Inna Bondarenko and Viktoria Zagreba.

 

AEQUO and AVELLUM participated in sale of Smart Plaza Obolon

AEQUO has advised Dragon Capital, one of the leading private equity funds in Ukraine, on the acquisition of Smart Plaza Obolon, a 13,000 square meter shopping and entertainment center, in Kyiv.

Smart Plaza Obolon was unveiled in January 2019 and has a leasable area of more than 9,000 square meters. The project team, as led by partner Anna Babych, included counsels Michael Lukashenko and Sergey Denisenko, senior associate Mykhaylo Soroka and associates Alona Aheienko, Mariia Derechina, Viktor Komziuk, Anna Litvinova and Denys Medvediev.

AVELLUM acted as the legal counsel to the sellers on the sale of Smart Plaza Obolon. The firm provided legal support to clients on the structuring of the complex multi-party transaction, participated in negotiations regarding the transaction documents and assisted with signing and completion. The AVELLUM team was led by partner Yuriy Nechayev, with support from associates Oleksii Maslov and Maryna Buinytska.

 

Dentons advised BCP Securities on its launch in Ukraine

Dentons advised BCP Securities, a US-based multinational investment bank focusing on emerging markets, in connection with the launch of its commercial activity in Ukraine. 

The bank’s new brokerage office in Kyiv will add to its global network that already includes Brazil, Mexico, Singapore, Spain and the United States, and will focus primarily on creating debt capital markets deals.

Dentons provided legal advice on the company’s incorporation in Ukraine, employment issues, as well as regulatory and licensing issues related to securities trading on the Ukraine stock exchange.

Dentons’ team was led by Kyiv-based partner Natalia Selyakova with significant support from partner Volodymyr Monastyrskyy, counsel Nadiya Shylienkova, and associates Artur Savin and Oleksandra Piskun.
