Sayenko Kharenko advised on second USD 50 million Eurobond tap issue by Trans-Oil Group

Sayenko Kharenko has acted as Ukrainian legal counsel to Citigroup, ING and
Renaissance Capital, joint lead managers and joint bookrunners in connection with the second USD 50 million tap issue of 8.45% secured notes due 2026 by Trans-Oil Group of Companies, a vertically-integrated agro-industrial holding with operating facilities in Moldova, Ukraine, Romania, and Serbia. The additional notes will be consolidated with existing USD 450 million notes that were originally issued in 2021, which will bring the size of the Eurobond to a total of USD 500 million.

Sayenko Kharenko’s team was led by partner Igor Lozenko and included associates Oles Trachuk and Vladyslava Mitsai, and junior associate Oleksandr Motin.

 

CMS advised Vodafone Ukraine

CMS Cameron McKenna Nabarro Olswang in Kyiv has advised leading mobile operator Vodafone Ukraine and its parent company, Neqsol Holding, on Vodafone Ukraine’s landmark acquisition of Vega Telecom from SCM Group.

Vega Telecom provides integrated telecommunications solutions involving broadband access, fixed and IP telephony, cloud services, data transmission and storage services.

The deal was signed in June 2021 and closed on 8 September 2021. The CMS team acted as lead deal counsel and advised on structuring and implementing the transaction, including preparing and negotiating transaction documentation.

Sayenko Kharenko provided legal support for PGNiG

Sayenko Kharenko has acted as a subcontractor for a Polish legal counsel, Rymarz Zdort, which provided legal support for Polskie Górnictwo Naftowe i Gazownictwo S.A. during its acquisition of a controlling stake in Karpatgazvydobuvannya LLC from ERU Management Services LLC, the mother company of ERU Group.

Karpatgazvydobuvannya LLC is a Ukrainian project company holding a special permit for exploration and extraction of natural gas in the Byblivska area of Lviv Region in Ukraine near Ukraine’s border with Poland.

Sayenko Kharenko advised PGNiG on a range of complex issues, including due diligence, transaction documents, assisted in securing merger clearance from the Antimonopoly Committee of Ukraine and assisted with completing the transaction.

INTEGRITES assisted Sturgeon Capital

INTEGRITES assisted Sturgeon Capital, a UK-based investment boutique, with the due diligence of PeopleForce, an HRM solution provider for small and medium businesses whose main operations are based in Kyiv. Following successful due diligence, Sturgeon Capital, with the participation of other strategic investors, has closed its first investment in Ukraine — a
USD 700,000 round for PeopleForce. The capital injection will be used to develop new features, grow the internal team, expand into new markets and increase brand awareness.

The due diligence performed by INTEGRITES specifically addressed corporate rights, including historical transfers, main business contracts, leases, employment arrangements and IP over software solutions.

Led by Illya Tkachuk, partner and head of corporate and M&A at INTEGRITES, the team working on the case included senior associate Anton Babak, junior associate Sofia Movchanets and paralegal Olha Bolotina.
